Terms of Service

1. Acceptance of Terms
By creating an account or using ParlourDesk (“the Service”), operated by SatisApps LLC (“we”, “us”, “our”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all of these terms, do not use the Service. By clicking “Start 14-Day Free Trial” or any similar registration button, you acknowledge that you have read, understood, and agree to these Terms.
2. Eligibility
You must be at least 18 years of age to use ParlourDesk. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
3. Description of Service
ParlourDesk is a studio management platform designed for tattoo studios. The Service includes appointment scheduling, digital canvas consent forms, deposit tracking, automated SMS and email reminders, client management, artist commission reporting, and related features. We may add, modify, or discontinue features at our discretion with reasonable notice.
4. Accounts
You are responsible for maintaining the confidentiality and security of your account credentials. You must provide accurate and complete information when creating an account and keep it up to date. One account per studio; artists are managed as sub-users within a studio account. You are responsible for all activity that occurs under your account. You must notify us immediately at support@parlourdesk.com if you suspect unauthorized access to your account.
5. Your Data
You retain full ownership of all data you input into ParlourDesk, including client records, consent forms, appointment data, and financial records. We do not claim any ownership or intellectual property rights over your content. You are responsible for ensuring you have proper consent from your clients to store and process their personal information, including health-related data such as skin notes and medical history collected through consent forms.
6. Consent Forms
ParlourDesk provides digital consent form tools including canvas signature capture, IP logging, timestamping, PDF generation, and archival. While we design these tools to support legal compliance, we do not provide legal advice and make no guarantee that our consent forms satisfy the legal requirements of your specific jurisdiction. You are solely responsible for ensuring your consent forms meet the requirements of your local, state, and federal laws. We strongly recommend consulting with a licensed attorney to verify compliance.
7. Payments & Billing
Subscription fees are billed monthly or annually as selected during signup. All fees are non-refundable except as required by law or as expressly stated in these Terms. Prices are subject to change with at least 30 days' written notice via email. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.
Deposit tracking within ParlourDesk is a record-keeping feature only. ParlourDesk does not process, hold, or transmit any payments between you and your clients. You are solely responsible for collecting and managing deposits through your own payment methods (Venmo, Zelle, Cash, etc.).
8. SMS Reminders & TCPA Compliance
ParlourDesk sends automated SMS reminders to your clients on your behalf using the Twilio messaging platform. You are solely responsible for obtaining proper written consent from your clients before enabling SMS reminders for them, in compliance with the Telephone Consumer Protection Act (TCPA) and any applicable state laws.
By using the SMS reminder feature, you represent and warrant that:
- You have obtained prior express consent from each client who will receive text messages
- You will honor opt-out requests from clients promptly
- You will not use the SMS feature to send unsolicited marketing messages
- You understand that standard messaging rates may apply to your clients
You agree to indemnify ParlourDesk against any claims, damages, or penalties arising from your failure to obtain proper consent or your misuse of the SMS feature.
9. Acceptable Use
You agree not to misuse the Service, including but not limited to:
- Sending unsolicited or spam messages through the platform
- Attempting to access other users' data or accounts
- Reverse engineering, decompiling, or disassembling any part of the platform
- Using the Service for any unlawful purpose
- Uploading malicious code, viruses, or harmful content
- Interfering with or disrupting the integrity or performance of the Service
- Circumventing any security or access controls
- Using the Service to store or transmit content that infringes on any third party's rights
10. Intellectual Property
The ParlourDesk name, logo, website, application, and all associated code, designs, text, graphics, and other content are the exclusive property of SatisApps LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code, except as permitted by law.
11. Third-Party Services
ParlourDesk relies on third-party service providers including Supabase (database), Twilio (SMS), Resend (email), Dodo Payments (billing), Vercel (hosting), and PostHog (analytics). We are not responsible for the availability, performance, or actions of these third-party services. Outages or issues with third-party providers do not constitute a breach of these Terms by ParlourDesk. Your use of these third-party services is subject to their respective terms and privacy policies.
12. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free service. ParlourDesk may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance. We are not liable for any losses or damages resulting from service interruptions.
13. Termination
You may cancel your account at any time through your account settings or by contacting support@parlourdesk.com. Upon cancellation, you will have 30 days to export your data (clients, appointments, consent forms). After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. In cases of severe violations (e.g., fraud, abuse, illegal activity), we may terminate your account immediately without a data export period.
14. Indemnification
You agree to indemnify, defend, and hold harmless SatisApps LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your failure to obtain proper client consent for SMS communications
- The content, accuracy, or legality of your consent forms
- Any dispute between you and your clients
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARLOURDESK IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL SATISAPPS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PARLOURDESK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Dispute Resolution & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against SatisApps LLC.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of ParlourDesk after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your account.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SatisApps LLC regarding your use of the Service. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
